1. Agreement and Acceptance
These Terms and Conditions govern all services provided by Taktic Marketing Pty Ltd. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms. These terms apply to each service engagement and supersede any previous agreements.
2. Pricing and Payment Structure
2.1 Standard Rates
Agency Hourly Rate: AUD $75.00 per hour (excluding GST).
Minimum Billing: 1 hour minimum charge.
Billing Increments: 30-minute increments after the first hour
2.2 Quote Validity
All pricing proposals are valid for 30 days from the date of issue unless otherwise specified in writing.
2.3 Payment Terms
Payment Method: Credit card or automatic direct debit only
Invoice Terms: Payment due within 14 days of invoice date
GST: All fees exclude GST unless otherwise stated. GST will be added where applicable.
3. Services Offered
Taktic Marketing provides the following services:
- Search Engine Optimisation (SEO)
- Customer Relationship Management (CRM) Software Subscription
- Conversion Rate Optimisation (CRO)
- Pay-Per-Click Advertising (Google Ads and Meta)
- Social Media Management (SMM)
- Website Development (Wordpress and CRM powered)
- Genesis WordPress Management Subscription
Service Availability:
All services are provided during business hours (8:30 AM - 5:30 PM AWST, Monday to Friday, excluding public holidays and Christmas/New Year closure periods).
4. Client Responsibilities
4.1 Business Information Updates
All changes to business information must be submitted in writing via email and 30 days' notice required for implementation across active services. Taktic Marketing will only update client-controlled assets. Historical content and external assets (backlinks, directories) remain unchanged. Changes during active campaigns may impact service effectiveness.
4.2 Content and Asset Requirements
Clients must provide materials in the following formats:
Content Type and Required Format:
a. Text/Copy - Microsoft Word, Google Docs, or Rich Text Format
b. Tables - Microsoft Excel or Google Sheets
c. Images - High resolution JPEG or PNG
d. Logos - Vector format (EPS preferred)
e. Diagrams/Maps - Vector format (EPS) or high-resolution JPEG
Note:
JPEG logos require conversion to vector format at additional cost.
5. Variations and Additional Costs
5.1 Variation Process
Changes to agreed scope constitute a "Variation". Work may be suspended pending cost review. Written "Variation" Notice required for approval. Additional costs charged at current Agency Hourly Rates
5.2 Examples of Variations
Additional requirements not discussed during onboarding:
Commercial fonts, photography, audio, or video costs. Extended service management time. Delays requiring rescheduling or overtime. Extra development work.
5.3 Urgent Changes
In cases where deadline constraints prevent prior approval, Taktic Marketing may proceed with necessary work and invoice separately.
6. Third-Party Assets
Unless specified in the pricing structure, fees exclude:
- Stock images and photography
- Commercial fonts
- Audio and video content
- Licensed software
Taktic Marketing can purchase these on your behalf. Ownership transfers upon full payment. Clients are responsible for maintaining licenses post-completion.
7. Approval Process
Client approval required for specified deliverables.
Deemed Approval: Items are considered approved if no response is received within 5 business days.
Production schedules may be adjusted due to approval delays

8.2 Service Exclusions
Advanced conversion tracking requiring development

8.3 Contract Terms
Minimum Term: 6 months
Payment: Monthly in advance or full 6-month term
Auto-renewal: Monthly billing after initial term
Cancellation: 30 days written notice to [email protected]
Refunds: All fees are non-refundable
8.4 Keyword Strategy
All keywords subject to Taktic Marketing validation.
Final keyword selection decisions rest with Taktic Marketing.
No changes permitted to approved keyword lists during service period
8.5 Performance Warranty
Top Position Warranty:
Applies if no validated keyword achieves top 10 local search position within 6 months.
Warranty claim must be submitted within 7 days of 6-month period ending.
Excludes keywords not validated by Taktic Marketing.
Excludes impacts from algorithm changes, technical issues, or client modifications.
9. Conversion Rate Optimisation (CRO)
9.1 Service Description
Comprehensive conversion audits
User behaviour analysis
A/B and multivariate testing
User recording analysis
Form and landing page optimisation
Monthly performance reporting
9.2 Testing Requirements
All tests subject to Taktic Marketing validation
Statistical significance and minimum traffic thresholds apply
Test duration and parameters determined by Taktic Marketing
Client must provide platform access and implementation capability
9.3 Implementation
Recommendations provided based on test results. Implementation is client responsibility unless otherwise agreed. Additional development work quoted separately
10. Pay-Per-Click Advertising
Services include:
Campaign setup and management (Google Ads and Meta)
Keyword research and ad copy creation
Ongoing optimisation and performance tracking
Bi-monthly performance reporting
11. Social Media Management
Services include:
Content creation and scheduling
Community management and engagement
Social media strategy development
Performance analytics and reporting
12. Website Development
12.1 Service Description
Website development services include:
Custom website design and build
Responsive design for all devices
Content management system integration
Basic on-page setupUp to 3 rounds of revisions included
12.2 Project Scope and Proposals
All website development projects require a formal proposal.
Project scope, timeline, and deliverables are defined in the proposal
Proposal must be approved in writing before work commences
Any work outside the agreed scope constitutes additional development
12.3 Revision Process
Included Revisions: Up to 3 rounds of revisions per project
Revision Scope: Changes must be within the original project scope
Additional Revisions: Charged at Agency Hourly Rate (AUD $75.00/hour)
Major Changes: Scope changes require new proposal and approval
12.4 Additional Development
Extra development work beyond the agreed scope includes:
Additional pages or functionality not specified in proposal
Revisions beyond the 3-round limitIntegration with third-party services not originally planned

Billing: All additional development charged at current Agency Hourly Rate.
12.5 Search Engine Visibility Disclaimer
Important Notice: Taktic Marketing does not guarantee that developed websites will be indexed by Google or any other search engine. Search engine indexing and ranking are separate services provided through our SEO offerings. Website visibility in search results depends on multiple factors including SEO implementation, content quality, and search engine algorithms. Clients requiring search engine visibility should engage our SEO services in addition to website development.
13. Genesis WordPress Management Subscription
13.1 Service Inclusions
Security monitoring and updates
Monthly WordPress core, theme, and plugin updates
Website speed optimisation
Premium plugin license access
24 hours annual support time
13.2 Support Hours Structure
Annual Allocation: 24 hours
Monthly Pro-rata: 2 hours
Billing: 1-hour increments
Expiry: End of subscription year (non-transferable)
Excess Rate: AUD $55.00 per hour (Genesis clients)
13.3 Cancellation and Hour Calculation
Upon Early Termination:
Entitled Hours = Months of Service × 2 hours
Excess Hours = Used Hours - Entitled Hours
Additional Charges = Excess Hours × Genesis Hourly Rate
13.4 Service Limitations
Excludes:
Custom development beyond essential maintenance
Content creation or updates
SEO services
Emergency after-hours support
Server or hosting management
13.5 Premium Plugin Access
Licenses remain property of Taktic MarketingAccess terminates upon subscription cancellation
14. CRM Software Subscription
Includes:
Access to CRM platform
Regular updates and feature enhancements
Customer support via platform widget
Monthly or annual billing options
15. File Storage and Retrieval
Taktic Marketing endeavours to store electronic files used in service production but does not guarantee file retrieval capability.
16. Disbursements
Disbursement charges are excluded from standard fees and will be charged as Additional Costs when incurred.
17. Intellectual Property
17.1 Ownership
All intellectual property rights in services vest in Taktic Marketing unless otherwise agreed.
17.2 License Grant
Clients receive a non-transferable, non-exclusive license to use service materials for their intended business purposes.
18. Warranties and Liability
18.1 Warranty Disclaimer
Taktic Marketing disclaims all warranties to the fullest extent permitted by law, except as required under Australian Consumer Law.
18.2 Limitation of Liability
Taktic Marketing's total liability is limited to the total fees paid for services in the preceding 12 months.
18.3 No Performance Guarantees
We do not guarantee:
Specific marketing campaign results.
Revenue increases.
Conversion rate improvements.
Search engine rankings (except as specified in SEO warranty)
19. Indemnification
Clients agree to indemnify Taktic Marketing against any claims arising from:
Breach of these terms
Use of our services
Client-provided content or materials
20. Confidentiality
Both parties agree to maintain confidentiality of proprietary information obtained during the engagement. This obligation survives termination of the agreement.
21. Agreement Duration and Termination
21.1 Term
This agreement commences upon service engagement and continues until services are completed or terminated.
21.2 Termination
Either party may terminate with 30 days written notice, subject to:
Completion of minimum contract periods (where applicable)
Payment of all outstanding fees
Settlement of any excess usage charges
22. Dispute Resolution
Both parties commit to resolving disputes through:
Direct communication and negotiation
Good faith collaborative dialogue
Amicable settlement before considering legal action
The goal is to maintain positive working relationships and find mutually beneficial solutions.
23. General Provisions
23.1 Relationship
This agreement does not create employment, partnership, or agency relationships.
23.2 Subcontracting
Taktic Marketing may engage subcontractors to fulfil service obligations.
23.3 Entire Agreement
These terms constitute the entire agreement and supersede all prior arrangements.
23.4 Governing Law
This agreement is governed by the laws of Western Australia, Australia.
23.5 Severability
If any provision is deemed invalid, the remainder of the agreement remains in full force.
